All: Thanks for your input. As it turns out I was doing everything perfectly but part of AS is faulty. The source audio happened to be at 96KHz/24Bit. Issue Resolved : 96KHz/24bit Audio Source No Workies.
AS will LET you import audio that is hi-fidelity (96KHz/24Bit) but upon playback or render it doesn't downsample it correctly.
